A First-Class Exit

More than the headline price.

A first-class exit is a company sale judged by the overall outcome, not the headline price alone. The value achieved is high. It sits alongside the acquirer, the timing, negotiating leverage, deal structure, certainty of completion, the consideration actually received, and what comes next for the founder, team and shareholders. A very high price with poor terms, the wrong acquirer or a transaction that does not complete is not a first-class outcome.

The transaction completes

Legal and financial details resolved, consideration paid, ownership transferred, and any earn-outs or warranty periods concluded successfully.

The best acquirer

A buyer who can generate the most value from the business, whose goals and culture align, and for whom the acquisition is a positive for your team and customers.

The ideal time

The business is approaching strong value, market conditions are favourable and shareholders want to exit. It is nearly impossible to predict, which is why readiness and optionality matter.

Peak negotiating leverage

A competitive process with multiple interested buyers, a strong competitive position, and an acquirer who understands this is their one opportunity.

Full consideration, when it is due

All or close to all of the consideration paid at completion, and any deferred components, such as earn-outs or warranty holdbacks, structured deliberately and received in full.
